Scope assigns (P) BB- senior secured bond rating to Cellfie Mobile LLC

Rating action
Scope Ratings GmbH (Scope) has assigned a (P) BB- rating to Cellfie Mobile LLC’s planned GEL 65m senior secured bond.
Rating rationale
The company plans to issue a GEL 65m senior secured bond in the near future for refinancing and capital expenditure purposes. The bond is expected to have a 3-year tenor and to carry a coupon at TIBR (Tbilisi Inter Bank Rate) 6 months +300/400 basis points. The senior secured bond rating is assigned at (P) BB-, which is based on the underlying issuer rating of BB-/Stable1 and reflects the expected recovery in light of the pledged security package (every tangible and intangible asset owned by the company) and the bond’s ranking in the hypothetical event of a company default. The recovery analysis is based on a hypothetical default scenario in 2025, which assumes outstanding senior secured bank loans (up to GEL 30m) rank superior to the senior secured bond. While the recovery expectations for the bond signal an above-average recovery taking into account a reasonably high distressed enterprise value at default of about GEL 100m, Scope refrains from granting a rating uplift to the bond rating, due to the emerging market risk and the risk that the company could raise additional senior secured bank loans.
