Scope affirms class A of Itaca SPV S.r.l. following calculation error correction - Italian NPL ABS
Rating action
Scope Ratings GmbH (Scope) has reviewed the performance of the notes issued by Itaca SPV S.r.l. and corrected analytical errors. The rating actions are as follows:
Class A (ISIN IT0005494221), EUR 69.1m: affirmed at BBBSF
Class B (ISIN IT0005494247), EUR 24.0m: not rated
Class J (ISIN IT0005494254), EUR 6.0m: not rated
The rating action incorporates the correction of a calculation error. Previously, the transaction was modelled with an incorrect amount of expected recovery expenses. In addition, the cap embedded on Class A and B Euribor component was not correctly modelled. These errors are now corrected and have no impact on the Class A assigned rating. Under the corrected modelling, expected recovery expenses have been reduced and the cap embedded on the Euribor component of Class A and B notes have been correctly modelled.
Scope’s review was based on servicer, investor and payment reporting as of the July 2023 payment date.
Transaction overview
Itaca SPV S.r.l. is a static cash securitisation of an Italian NPL portfolio with a gross book value of around EUR 1,128m at closing. The portfolio was originated by Unicredit S.p.A. and is serviced by doValue S.p.A. and doNext S.p.A., as special and master servicer. The transaction closed on 6 May 2022 and the legal maturity of the notes is July 2045.
As of 31 July 2023, aggregate net collections were EUR 84.8m. Total available gross collections are split between discounted pay-off proceeds (62.3%), ad interim collections (19.9%), judicial proceeds (13.1%) and other sources of collections (4.7%).
Rating rationale
The review addressed i) performance observed performance until the July 2023 payment date; ii) Scope’s forward-looking assumptions, which incorporate expected macroeconomic changes over the transaction’s remaining life; iii) updates to the transaction’s liability structure, liquidity, and interest rate hedging; and iv) the issuer’s exposure to key transaction counterparties.
Beyond the key rating drivers addressed further below, the main analytical consideration is the quick pace of collections and class A deleverage. Class A note has amortised by 44.7% after only two interest payment dates. The reported net proceeds cumulative collection ratio and NPV profitability ratios are 591.9% and 149.9%, respectively. An interest subordination event has not occurred as both ratios remain above the 90.0% trigger level.1
Key rating drivers
The transaction’s key rating drivers are aligned with those in Scope’s initial rating action release dated 6 May 2022.
Rating-change drivers
Positive. Consistent performance improvement in terms of secured profitability could positively impact the rating.
Negative. Slowdown of the Italian economy driven by persistent inflationary pressures combined with tighter monetary policy, and the potential deterioration of borrowers’ affordability conditions could impair servicers’ performance on collections.2
Quantitative analysis and assumptions
Scope analysed cash flows reflecting the transaction’s structural features to calculate each tranche’s expected loss and weighted average life. Scope also analysed the assets to produce a rating-conditional cash flow projection of gross recoveries for the portfolio of defaulted loans.
Sensitivity analysis
Scope tested the rating’s resilience to deviations in expected recovery rates and recovery timing. This analysis has the sole purpose of illustrating the rating’s sensitivity to input assumptions and is not indicative of expected or likely scenarios.
The following shows how the results for class A notes would change compared to the assigned rating in the event of:

Stress testing
Stress testing was performed by applying Credit-Rating-adjusted recovery rate assumptions.
Cash flow analysis
Scope Ratings performed a cash flow analysis for the transaction using Scope Ratings Cash Flow Structured Finance Expected Loss Model Version 1.2. This incorporated the relevant asset assumptions, taking into account the transaction’s main structural features, such as the notes’ priorities of payment, size, and coupons. The outcome of the analysis is an expected loss rate and an expected weighted average life for the instruments based on the generated cash flows.

Prior to the issuance of the Credit Rating action, the Rated Entity was given the opportunity to review the Credit Rating and the principal grounds on which the Credit Rating is based. Following that review, the Credit Rating was not amended before being issued.
